1. About this agreement
This End User Licence Agreement (EULA) is between Opvia Ltd, trading as Seal (Seal, we, us), and you, or the organisation on whose behalf you are authorised to accept it. It governs your use of Neil for Office, our add-in that connects Microsoft Word and Excel to Neil and the Seal platform (the Add-in). The Add-in, Neil, and the Seal platform are referred to together as the Services.
By installing, accessing, or using the Add-in, you agree to this EULA. If you accept it on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Add-in.
2. Your customer agreement
If you or your organisation has a signed master services agreement, order form, data processing agreement, or other signed agreement with Seal covering the Services (Customer Agreement), this EULA supplements it. The Customer Agreement takes precedence in any conflict, including on fees, service levels, data protection, warranties, liability, termination, and governing law. This EULA does not amend those agreed terms or grant access beyond your organisation's entitlement.
3. Licence and access
Subject to this EULA and any Customer Agreement, Seal grants you a limited, non-exclusive, non-transferable licence to install and use the Add-in for your organisation's internal business purposes while you have authorised access to the Services. The Add-in is licensed, not sold. Seal and its licensors retain all rights in the Add-in except those expressly granted here.
Use requires a compatible Microsoft Word or Excel installation, an authorised Seal account, and access to Neil for Office enabled for your organisation. Installing the Add-in does not itself provide a Seal subscription or enable restricted features. Available functions depend on your subscription, configuration, and Office version.
4. Your responsibilities
You must protect your account credentials, follow your organisation's access and data policies, and have the rights and permissions needed to submit content and request changes. You must not:
- Use the Add-in unlawfully, infringe another person's rights, or access information you are not authorised to use.
- Bypass access restrictions or security controls, interfere with the Services, or introduce malicious code.
- Resell, sublicense, or make the Add-in available to unauthorised users, except as permitted by your Customer Agreement.
- Reverse engineer or attempt to derive the Add-in's source code, except to the extent applicable law permits despite this restriction.
5. Your content and privacy
You and your organisation retain your rights in the content you provide. You authorise Seal and its service providers to process that content as needed to provide the Services and carry out your instructions, subject to the Customer Agreement and applicable law.
The Add-in can read and modify content in a connected document or workbook in response to your requests. Relevant content, prompts, and operation results are sent to Seal and the configured AI provider; they may extend beyond your current selection and form part of your conversation history. Our Privacy Policy explains this processing, retention, and how to make a privacy request. Customer content is not used to train AI models.
6. AI responses and document changes
AI responses and changes may be inaccurate, incomplete, or unsuitable for your intended purpose. Review and verify responses, calculations, formulas, and document changes before relying on them or sharing them. Keep appropriate backups and follow your organisation's review and approval procedures.
The Add-in does not replace professional judgement, required validation, quality review, signatures, or release approvals. Its outputs do not by themselves establish regulatory compliance or authorise a regulated decision.
7. Microsoft and support
Seal provides and supports the Add-in. This EULA is between you and Seal, not Microsoft. Microsoft Word, Excel, and related services are provided under your separate agreements with Microsoft. This EULA does not grant a licence to those products or impose support obligations on Microsoft.

8. Warranties and liability
Warranties, remedies, and limits of liability in your Customer Agreement apply to the Add-in. Except as provided in that agreement or required by law, Seal does not warrant that the Add-in will be uninterrupted or error-free, or that AI responses will be accurate or fit for a particular purpose. To the extent permitted by law, no other warranties or conditions are implied.
Nothing in this EULA excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. It does not affect any mandatory statutory rights.
9. Suspension and termination
You may stop using and uninstall the Add-in at any time. Your licence ends when your authorised access to the Services ends. Subject to the Customer Agreement, Seal may suspend or end access for a material breach of this EULA, to address a security risk, or where required by law. Stopping use does not cancel subscription obligations under a Customer Agreement. Retention or deletion of existing records is governed by that agreement and our Privacy Policy.
10. Changes to this EULA
We may update this EULA and will identify the version by its revised date. We will provide notice of material changes before they take effect. Changes apply prospectively and remain subject to the Customer Agreement, including any agreed procedure for amendments. If you do not accept an update, stop using the Add-in before it takes effect.
11. Governing law and contact
Unless your Customer Agreement provides otherwise, this EULA is governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales. Mandatory rights under applicable law remain unaffected. If any provision is unenforceable, the remaining provisions continue to apply.
